1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of PayTrack, including our website and related services at https://paytrack.work (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.
If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity.
2. Eligibility and Accounts
You must provide accurate account information and keep it current. You are responsible for activity under your account and for maintaining the security of your login credentials.
We may suspend or terminate accounts that violate these Terms, applicable law, or create security or abuse risks.
3. Service Description
PayTrack provides tools for invoice tracking, client payment links, reminders, client portal access, and subscription management features. We may update, modify, or discontinue features at any time.
4. Plans, Billing, and Taxes
- Free Plan: The free plan may include usage or feature limits.
- Paid Plan(s): Paid subscriptions (including Pro) unlock additional features.
- Billing: Paid subscriptions are billed in advance through Stripe and may auto-renew unless canceled before renewal.
- Taxes: You are responsible for applicable taxes, duties, and similar charges, except taxes based on our net income.
- Refunds: Except where required by law, fees are non-refundable once billed. Cancellation prevents future renewals.
5. User Content and Client Data
You retain ownership of content and data you submit to the Service ("User Content"), including invoice and client data. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display User Content only as needed to provide and improve the Service.
You represent that you have all rights and permissions needed to upload User Content and to instruct us to process it, including personal data of your clients.
6. Acceptable Use
You agree not to use the Service to:
- Violate applicable law, regulation, or third-party rights.
- Send unlawful, deceptive, or unauthorized communications, including spam.
- Upload malware or interfere with Service integrity.
- Attempt unauthorized access, scraping, reverse engineering, or abuse of rate limits/security controls.
7. Third-Party Services
The Service integrates with third-party providers (for example Stripe, Google, Resend, hosting providers, and optional support tools). Your use of third-party services is subject to their own terms and privacy policies. We are not responsible for third-party products or services.
8. Intellectual Property
The Service, including software, design, and branding (excluding your User Content), is owned by PayTrack and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or permitted free use.
9. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
PayTrack provides workflow and billing tools only and does not provide legal, accounting, tax, or financial advice.
10. Limitation of Liability
To the maximum extent permitted by law, PayTrack is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business interruption.
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) USD $100.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Indemnification
You will indemnify and hold harmless PayTrack and its operators from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.
12. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate your access if reasonably necessary for security, legal compliance, non-payment, or violations of these Terms. Sections that by nature should survive termination will survive.
13. Governing Law and Disputes
These Terms are governed by the laws of Germany, excluding conflict-of-law principles. The courts located in Berlin, Germany have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, unless mandatory local law requires otherwise.
14. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the "Last Updated" date. Your continued use of the Service after changes take effect means you accept the updated Terms.
